Error during the retrieval of COM class factory.

Hi All,
During the execution of the given statement i got the below listed exception.
Please help me to resolve it as soon as possible.
Line where exception generated : Excel.Application xla = new Excel.Application();

EXCEPTION :Retrieving the COM class factory for component with CLSID {00024500-0000-0000-C000-000000000046} failed due to the following error: 80040154. .

The dll (Microsoft.Office.Interop.Excel) is referenced and even Microsoft Excel also installed.
